Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Philo mobile application (the “Service”) operated by Nesteia UG (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

1. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service. These Terms constitute a legally binding agreement between you and Nesteia UG.

2. License to Use

We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your personal, non-commercial purposes. This license does not include any resale or commercial use of the Service or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this Service or its contents; or any use of data mining, robots, or similar data gathering and extraction tools.

3. Subscriptions and Billing

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a subscription.

At the end of each Billing Cycle, your subscription will automatically renew under the exact same conditions unless you cancel it or Nesteia UG cancels it. You may cancel your subscription renewal either through your online account management page or by contacting Nesteia UG customer support.

A valid payment method, including credit card or through the relevant app store (Apple App Store or Google Play Store), is required to process the payment for your subscription. All payments are processed through Apple's App Store or Google Play, and are subject to their respective terms and conditions.

4. Free Trial

Nesteia UG may, at its sole discretion, offer a subscription with a free trial for a limited period of time. You may be required to enter your billing information in order to sign up for the free trial. If you do enter your billing information when signing up for a free trial, you will not be charged by Nesteia UG until the free trial has expired.

5. User Conduct

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation.
  • To transmit, or procure the sending of, any unsolicited or unauthorized advertising or promotional material.
  • To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service.
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service.

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Nesteia UG and its licensors. The Service is protected by copyright, trademark, and other laws of both Germany and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Nesteia UG.

The philosophy quotes contained in the application are sourced from historical public domain works. While the curation, translation, and presentation are proprietary, the underlying philosophical texts are generally in the public domain.

7. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind, either express or implied. Nesteia UG makes no warranty that the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis. Nesteia UG makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any content.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Nesteia UG, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. The courts of Baden-Württemberg, Germany shall have exclusive jurisdiction over any disputes arising from or relating to these Terms or the Service.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
